Doherty, Wallace, Pillsbury & Murphy, PC is seeking attorneys with 3-10 years experience in the following areas:

  • business and corporate, including general corporate work, financing, mergers and acquisitions, and commercial real estate;
  • trusts and estates and probate, including sophisticated estate planning and probate litigation; and
  • general litigation, including complex commercial litigation.

Qualified candidates should be licensed to practice in Massachusetts, have a track record of quality legal representation, strong work ethic, excellent academic credentials, and good interpersonal skills.

Commercial Real Estate Paralegal

The Commercial Real Estate Paralegal provides transactional support for property acquisitions, financing, dispositions, and leasing matters. This role involves overseeing title work, coordinating closings, drafting documents, and working directly with attorneys, lenders, and clients. Candidates should be familiar with Massachusetts real estate laws, recording requirements, and practice standards.

Key Responsibilities:

  • Prepare title rundowns, title commitments, title policies, settlement statements and closing disclosures.
  • Coordinate with title companies, lenders, municipal offices, and opposing counsel to clear title issues.
  • Draft and prepare real estate transaction documents, including settlement statements, deeds, assignments, mortgages, discharge documents, UCC filings, and closing checklists.
  • Assist in commercial lease drafting, review, and abstracting.
  • Prepare and manage closing binders; handle recording and follow-up with Massachusetts registries of deeds and the Land Court.
  • Conduct due diligence, including municipal research (taxes, permits, zoning, utilities).
  • Organize and maintain real estate files and document tracking systems.
  • Assist with corporate documentation related to real estate transactions (entity authorization docs, certificates, etc.).
  • Assist with residential real estate transactions as needed.
  • General corporate law matters, including entity formation, amendments, dissolutions, mergers, review and update of minute books and stock ledgers, preparing authorizing resolutions, documenting equity transfers, Certificates of Good Standing, IRS filings, MA DOR filings and assisting with closings.
  • Submission of documents for filing with State and Federal agencies, town clerk offices.
  • Performing other paralegal duties and special projects as may be assigned

Qualifications:

  • Bachelor’s degree or paralegal certificate preferred.
  • 3–5 years of commercial real estate paralegal experience in Massachusetts.
  • Familiarity with MGL c. 183, Land Court practices, and Registry of Deeds procedures.
  • Strong title and closing experience required.
  • Excellent communication and project-management skills.

Corporate Paralegal

The Corporate Paralegal supports attorneys in a broad range of corporate, transactional, and governance matters, including commercial real estate transactions. The role involves drafting and maintaining corporate records, preparing filings with Massachusetts and federal agencies, assisting with corporate transactions, and providing general legal administrative support. The ideal candidate is detail-oriented, organized, and comfortable working in a fast-paced legal environment.

Key Responsibilities:

Prepare, file, and maintain corporate documents (formation documents, annual reports, Articles of Amendment, Certificates of Good Standing, etc.) with the Massachusetts Secretary of the Commonwealth and other jurisdictions.

  • Assist with entity formation, mergers, acquisitions, dissolutions, and corporate restructuring, review and update of minute books and stock ledgers.
  • Draft and manage corporate governance documents, including consents, resolutions, operating agreements, bylaws, and minutes.
  • Conduct due diligence for corporate transactions.
  • Assist with commercial and back up residential Real Estate Conveyancing and Financing, closing support, title insurance policies, Lender documentation, title clearing and recording at Registries of Deeds.
  • Manage corporate databases and track key deadlines.
  • Coordinate with service companies, state agencies, and clients regarding filings and compliance requirements.
  • Assist with drafting contracts, engagement letters, and other correspondence.
  • Support attorneys with research and project management as needed.
  • Performing other paralegal duties and special projects as may be assigned

Qualifications:

  • Bachelor’s degree or paralegal certificate preferred.
  • 3+ years of corporate paralegal experience, ideally in a Massachusetts law firm or in-house legal department.
  • Strong understanding of Massachusetts corporate filings and requirements.
  • Excellent organizational skills and attention to detail.
